Kachilu Terms of Service

These Terms of Service (these "Terms") govern the use of Kachilu, including the Kachilu desktop application, website, web dashboard, browser-based automation features, workflow generation features, profiles, integrations, support, and related services (collectively, the "Service") provided by Kachilu Inc. ("Kachilu," "we," "us," or "our").

By creating an account, downloading or using the Service, subscribing to a paid plan, or otherwise accessing the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means both you and that organization.

1. Service Overview

Kachilu is a desktop-based business automation service. The Service may help users create, run, monitor, and manage browser-based workflows for outbound activities such as contact form outreach, social channel outreach, recruiting, marketing, sales operations, research, and related business tasks.

The Service may include

  • workflow generation from user-provided instructions, URLs, website information, or business context;
  • browser-based task execution through the Kachilu desktop application;
  • task history, execution logs, dashboards, and status tracking;
  • saved profiles that may store SNS logins, cookies, task settings, execution history, and related session information;
  • integration with external services, including Codex, social networks, websites, customer tools, Stripe, analytics tools, and infrastructure providers.

The Service is a tool for user-controlled business operations. You are responsible for deciding what workflows to run, reviewing generated content, complying with applicable laws and third-party service rules, and handling communications with third parties.

2. Eligibility and Registration

You may use the Service only if you are legally capable of entering into a binding agreement. If you are a minor, you may use the Service only with consent of a parent or legal guardian.

To use the Service, you may need to create an account and provide accurate, current, and complete information. You must keep your account information up to date. We may reject, suspend, or terminate an account if we reasonably believe that the information is false, incomplete, outdated, fraudulent, or otherwise inappropriate.

3. Account Security

You are responsible for maintaining the confidentiality and security of your account, device, credentials, profiles, external-service sessions, API connections, and authentication factors. Any activity through your account or profile will be treated as your activity unless caused by our intentional misconduct or gross negligence.

You must promptly notify us if you suspect unauthorized access to your account, profile, device, credentials, or connected services.

4. Desktop Application, Profiles, and Execution Environment

Kachilu is designed to run workflows from the user's own desktop environment. The public supported environments are macOS 14 or later on Apple silicon Macs and 64-bit Windows 10 or 11 on Intel or AMD x64 CPUs, unless otherwise stated on the download page.

The Service may require a Kachilu account, Codex account, internet connection, supported operating system, browser environment, and external-service accounts. Some functions may not work on unsupported devices, virtual machines, cloud-hosted desktops, restricted networks, or environments with incompatible security settings.

Profiles may store or access session information such as SNS logins, cookies, local browser state, task settings, and execution history. You are responsible for ensuring that each profile is used only with accounts and services you are authorized to operate.

5. External Services and Codex

The Service may interact with services provided by third parties, including Codex, OpenAI services, social networks, messaging platforms, websites, Stripe, analytics tools, and infrastructure services ("External Services").

External Services are governed by their own terms, policies, rate limits, platform rules, acceptable-use rules, and privacy practices. You are solely responsible for complying with them. We do not control External Services and are not responsible for their availability, decisions, restrictions, suspensions, errors, data handling, or policy changes.

If a Codex or other AI account is required, you are responsible for maintaining that account and complying with the applicable terms. Kachilu may transmit prompts, instructions, URLs, content, outputs, execution context, and related information to Codex or other AI services as necessary to provide workflow generation and execution features.

6. User Content and Outputs

"User Content" means information, text, URLs, instructions, credentials, settings, files, business data, prompts, messages, templates, target lists, or other content that you submit to or process through the Service.

"Output" means content, workflows, messages, recommendations, classifications, summaries, task plans, or other results generated or produced by the Service.

You retain your rights in User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, reproduce, modify, and use User Content and Output as necessary to provide, secure, maintain, support, and improve the Service, comply with law, and enforce these Terms.

You are responsible for User Content, Output, and all actions taken based on them. You must review Output before using it where accuracy, legality, reputation, rights, or compliance matters. We do not guarantee that Output is accurate, complete, lawful, appropriate, non-infringing, suitable for your purpose, or free from harmful or misleading content.

7. Outreach, Automation, and Compliance Responsibilities

You are solely responsible for the legality, accuracy, appropriateness, timing, recipients, and consequences of your outreach, posting, submission, messaging, recruiting, marketing, sales, research, and other activities conducted through or assisted by the Service.

You must comply with all applicable laws and regulations, including laws related to personal information, privacy, telecommunications, anti-spam, electronic communications, advertising, unfair competition, consumer protection, employment, discrimination, intellectual property, platform access, scraping, and cybersecurity.

You must also comply with the terms and rules of third-party websites, social networks, messaging platforms, job boards, recruiting platforms, and other services that your workflows access.

Kachilu may include pacing, manual controls, human handoff, CAPTCHA handoff, execution visibility, or other controls, but these controls do not guarantee compliance, deliverability, platform acceptance, account safety, or business results.

8. Prohibited Conduct

You must not use the Service to

  • violate any law, regulation, court order, government order, third-party term, or third-party right;
  • send spam, unlawful marketing messages, deceptive messages, unsolicited messages in violation of applicable rules, or communications that are harassing, discriminatory, defamatory, threatening, or misleading;
  • impersonate another person or organization, misrepresent authority, or conceal material facts in communications;
  • operate accounts, profiles, websites, or systems without proper authorization;
  • bypass or circumvent CAPTCHA, authentication, paywalls, access controls, robots restrictions, rate limits, platform safety measures, or technical restrictions;
  • conduct unauthorized scraping, crawling, harvesting, data extraction, data resale, or unauthorized contact-list creation;
  • collect or process sensitive personal information in violation of law or without a valid legal basis;
  • discriminate unlawfully in recruiting, employment, sales, marketing, or other decision-making;
  • generate, distribute, or promote malware, phishing, credential theft, spam tooling, exploit code, or other harmful technology;
  • overload, disrupt, damage, or interfere with the Service, External Services, networks, devices, or websites;
  • reverse engineer, decompile, disassemble, modify, or create derivative works of the Service except to the extent permitted by mandatory law;
  • resell, sublicense, lease, lend, distribute, or provide the Service to third parties except as expressly permitted by us;
  • use the Service to benchmark, train, or develop a competing product without our prior written consent;
  • remove proprietary notices or circumvent technical limitations of the Service;
  • use the Service in connection with antisocial forces, organized crime groups, or sanctioned persons or entities;
  • engage in any other activity that we reasonably determine may harm Kachilu, users, third parties, the Service, or public trust.

9. Fees, Trials, Subscriptions, and Taxes

Fees are displayed on the Service website, order page, or other materials specified by us. Unless otherwise stated, the current monthly plans are: Solo, USD 19 per month for 1 workspace; Growth, USD 49 per month for 3 workspaces; Business, USD 129 per month for 10 workspaces; and Agency, USD 299 per month for unlimited workspaces.

The current public trial is a free 14-day trial with no card required. Trial details may change from time to time. If you start a paid subscription, billing begins when you subscribe to the paid plan or at the time otherwise shown during checkout.

Paid plans renew automatically on a monthly basis unless cancelled before the renewal date. You authorize us and Stripe, our payment processor, to charge applicable fees and other amounts using your selected payment method.

Fees include applicable taxes unless otherwise stated. You are responsible for communication charges, internet fees, External Service fees, and other costs required to use the Service.

Except as required by law or expressly stated by us, fees are non-refundable and we do not provide refunds or prorated credits for partial months, unused actions, unused workspaces, downgrade, cancellation, account suspension, or termination.

10. Cancellation and Plan Changes

You may cancel your subscription in the app. Cancellation stops future renewal charges but does not automatically refund fees already paid.

If you cancel, your paid access generally continues until the end of the then-current billing period unless otherwise stated. We may delete or restrict access to accounts, profiles, User Content, Output, execution history, and related data after cancellation or termination in accordance with our Privacy Policy and retention practices.

11. Changes to the Service

We may add, modify, suspend, discontinue, restrict, or remove features, plans, supported environments, integrations, External Service support, usage limits, or any other part of the Service at any time.

We may suspend the Service for maintenance, security, system failure, External Service failure, legal compliance, disaster, force majeure, or other operational reasons.

12. Intellectual Property

The Service, software, website, designs, logos, trademarks, technology, documentation, models, workflows, interfaces, and other materials provided by us are owned by Kachilu or our licensors and are protected by intellectual property laws.

Except for the limited right to use the Service under these Terms, no rights are transferred to you. You must not use our name, trademarks, logos, or branding without our prior written permission.

13. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood as confidential. The receiving party must use confidential information only for the purpose of using or providing the Service and must protect it using reasonable care.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of confidential information, lawfully received from a third party, or required to be disclosed by law.

14. Privacy and Data Protection

We handle personal information in accordance with our Privacy Policy and other applicable privacy notices.

You are responsible for ensuring that you have a valid legal basis and provide required notices or obtain required consents for personal information, target lists, contact data, recruiting data, sales data, customer data, or other data you upload, process, or use through the Service.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Service, delete or restrict accounts or profiles, stop workflows, remove content, or refuse support if

  • you breach these Terms or any applicable law;
  • fees are unpaid or a payment method fails;
  • we reasonably believe your use may harm Kachilu, users, third parties, External Services, or public trust;
  • your account appears fraudulent, unauthorized, compromised, or high risk;
  • required External Services become unavailable or restrict relevant use;
  • we must do so for legal, security, operational, or compliance reasons.

You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.

16. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, security, compatibility, deliverability, account safety, legal compliance, platform acceptance, and business results.

We do not guarantee that

  • workflows will run without interruption or error;
  • any website, platform, or External Service will permit or continue to permit automation;
  • any account will avoid restriction, suspension, rate limitation, review, or other action by an External Service;
  • messages, forms, posts, or other communications will be delivered, accepted, read, or produce results;
  • Output will be complete, current, accurate, lawful for your use case, or suitable for your purpose;
  • defects or vulnerabilities will be corrected by any particular time.

17. Limitation of Liability

To the maximum extent permitted by law, Kachilu is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost business, lost opportunities, lost goodwill, lost data, account restrictions, platform suspensions, business interruption, or third-party claims, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service or these Terms is limited to the greater of: (a) the amount you paid to us for the Service during the three months before the event giving rise to liability; or (b) USD 100.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intentional misconduct or gross negligence where such limitation is not permitted.

18. Indemnity

You will indemnify and hold harmless Kachilu, our officers, directors, employees, contractors, affiliates, and licensors from and against claims, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to

  • your use of the Service;
  • User Content, Output, workflows, outreach, communications, or decisions;
  • your breach of these Terms, law, or third-party terms;
  • your violation of rights of any third party;
  • disputes between you and recipients, candidates, customers, platforms, External Services, or other third parties.

19. Antisocial Forces

Each party represents that it is not an organized crime group, member of an organized crime group, person for whom five years have not passed since leaving such a group, quasi-member, related company, corporate racketeer, political racketeering group, special intelligence violence group, or other similar person or entity under Japanese practice ("Antisocial Forces"), and that it does not provide funds or benefits to Antisocial Forces.

We may immediately terminate the Service if we reasonably determine that you violate this section.

20. Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, business transfer, or sale of assets.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting on the website, in the Service, by email, or by another appropriate method. The updated Terms become effective on the effective date stated in the notice. If you continue using the Service after the effective date, you agree to the updated Terms.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes arising out of or related to these Terms or the Service.
