Kachilu Terms of Service

These terms (the "Terms") set forth the conditions for use of "Kachilu" (the "Service") provided by Kachilu Inc. ("we," "us," or "our") and apply to all customers who use the Service. Please read these Terms carefully before using the Service.

(Agreement to These Terms)

Customers shall use the Service in accordance with these Terms and may not use the Service unless they agree to these Terms. Any separate agreements between us and a customer regarding the Service, and any documents distributed, delivered, or posted by us as part of these Terms, constitute a part of these Terms between us and the customer.

A service use agreement in accordance with these Terms (the "Service Use Agreement") is formed between the customer and us at the time the customer completes user registration set forth in Article 4.

(Revision and Amendment of These Terms)

We may change or add to the contents of these Terms at any time at our own discretion.

If a registered user does not agree to changes to these Terms, the user shall immediately stop using and viewing the Service. If a registered user continues to use the Service after changes to these Terms, that registered user is deemed to have agreed to such changes.

(Definitions)

In these Terms, the meanings of the following terms are as set forth below.

"Registered User"

A customer (individual or corporation) who registers for use of the Service in accordance with the user registration procedures in Article 4 and concludes a Service Use Agreement with us.

"Registration Information"

All information about a registered user provided to us by the registered user in user registration procedures under Article 4 and on other occasions.

"Registered User Information"

Registration Information, all information regarding communications between us and a registered user, device information, and other information collected from a registered user in connection with use of the Service.

"Content"

Information accessible by a registered user through the Service, including but not limited to text, images, videos, audio, music and other sounds, software, programs, code, and other data.

"Submitted Information"

Among Content, all information including contracts and corporate information that a registered user transmits or inputs by upload or other means using the Service.

"Kachilu Content"

Among Content, information related to services provided by us to registered users in the Service and all other information provided and developed by us.

(User Registration)

A customer wishing to use the Service (a "Prospective Registrant") may apply to us for registration to use the Service ("Registration Application") by agreeing to comply with these Terms and providing Registration Information in the manner specified by us.

We determine whether to approve registration of a Prospective Registrant who has made a Registration Application ("Applicant") based on screening standards determined at our discretion. If we approve registration, we notify the Applicant, and user registration is completed upon such notice, at which point a Service Use Agreement is formed between us and the Applicant.

We may refuse a Registration Application if any of the following applies, and we have no obligation to disclose the reason.

  • If all or part of the Registration Information is false, incorrect, or incomplete
  • If the Applicant has previously been subject to suspension measures regarding the Service, or is currently subject to such measures
  • If we determine that the Applicant (or related parties) has previously breached a contract with us or failed to perform contractual obligations, or is likely to fail to perform obligations under the Service Use Agreement
  • If we determine for reasonable grounds that the Applicant falls under Article 12, Paragraph 1, Item 5 of these Terms
  • Any other case where we determine that approving registration is inappropriate

If a minor performs user registration under this Article, consent of a legal representative is required. When a minor completes such user registration, consent of the legal representative is deemed to have been given for use of the Service and agreement to these Terms.

If a registered user who was a minor at the time of agreement to these Terms uses the Service after reaching adulthood, that registered user is deemed to have ratified all legal acts related to the Service.

(Provision of Registration Information)

Registered users must provide true and accurate information to us as Registration Information. If Registration Information contains errors or changes arise, the registered user shall promptly notify us and correct or change such information at their own responsibility.

We provide the Service based on registered users' Registration Information. We bear no responsibility for any damage suffered by a registered user due to false statements, errors, omissions, or failure to update Registration Information.

If a registered user fails to correct or change Registration Information and a notice from us does not reach the user at the normally expected time, such notice is deemed to have reached the user at the normally expected time.

(Account Management)

Registered users shall manage and store accounts related to the registered user at their own responsibility, and may not allow third parties to use, lend, transfer, or change the name of such accounts. If a third party uses an account related to a registered user, such use is deemed use by that registered user.

Registered users are responsible for damages arising from insufficient management of accounts, operational errors, use by third parties, or other inappropriate handling, and we bear no responsibility.

If a registered user learns that an account has been stolen or is being used by a third party, the registered user shall immediately notify us and follow our instructions.

(Fees for Use of the Service)

Fees for use of the Service are as set forth in the price list shown on the service website. We may change fee amounts as necessary from time to time.

Payment methods for such fees are credit card payment or other methods specified by us. If payment is delayed, the registered user or former registered user shall pay late damages to us at an annual rate of 14.6%.

Except as otherwise provided on the service website, we do not provide refunds of fees paid by registered users for any reason, and registered users agree to this in advance.

(Compliance Requirements for Service Use)

The Service may be used only for the registered user's own use. Registered users may not use the Service for resale, distribution, development, or other purposes beyond self-use. However, where attorneys or other professionals lawfully use the Service for their clients, such use is deemed use for their own purposes to the necessary extent.

(Use of User Information, etc.)

We appropriately handle Registered User Information in accordance with a separately defined privacy policy.

At our discretion, we may use Registered User Information for provision and operation of the Service, improvement and enhancement of service content, and understanding usage status of the Service, and may use it for proposals or consulting to companies as statistical information in a form that does not identify individuals, for new service development, and for other purposes.

Based on registered user information, we may disclose confidential information only to: companies that have a partner agreement with Kachilu Inc. and provide advisory services to Kachilu users ("Advisors"); candidate transferees of shares of issuing companies held by parties to this agreement; investors when considering issuance of new shares; audit firms; and securities companies. We shall cause such recipients to comply with obligations equivalent to this Article.

(External Services)

We may provide the Service in cooperation with external services. In using external services, registered users shall comply not only with these Terms but also with terms and other conditions set by providers of those external services.

External services are the responsibility of the providers of those services. We make no warranties of any kind regarding external services, including suitability for a specific purpose, merchantability, accuracy, usefulness, completeness, legality, compliance with internal rules of organizations applicable to registered users, absence of security defects/errors/bugs/malfunctions, or non-infringement of third-party rights.

(Prohibited Acts)

In using the Service, registered users shall not, themselves or through third parties, engage in or cause any act falling under or likely to fall under any of the following.

  • Acts violating laws or constituting/promoting criminal acts
  • Acts that induce or suggest violations by us of the Attorneys Act or other regulations
  • Acts requesting legal consultation from us or requesting referral to attorneys or law firms
  • Acts requesting specific and individual judgments from us on all or part of contracts, registration applications, or other legal documents
  • Acts requesting specific and individual answers from us on propriety of all or part of contracts, registration applications, or other legal documents
  • Acts seeking specific and individual legal discussions on all or part of specific contracts, registration applications, or other legal documents, regardless of name
  • Fraudulent or threatening acts against us, other registered users, or third parties
  • Acts violating public order and morals or promoting such acts
  • Except as provided in the proviso of Article 8, Paragraph 1, acts using or attempting to use the Service for all or part of third-party contracts, registration applications, or other legal documents
  • Despite refusal of Service use for a specific contract, registration application, or other legal document deemed inappropriate, repeatedly attempting to use the Service for documents formally or substantively identical to it
  • Defamatory acts against us, other registered users, or third parties
  • Acts infringing intellectual property rights, portrait rights, privacy, honor, or other rights/interests of us, other registered users, or third parties
  • Acts of reselling or lending all or part of the Service to third parties
  • Harassment of our employees
  • Acts inducing malfunctions of the Service
  • Reverse engineering
  • Acts using the Service primarily to verify or analyze accuracy/performance of the Service or algorithms used in it
  • Acts imposing excessive load on the Service network, servers connected to the Service, or other architecture
  • Unauthorized access to the Service network, servers connected to the Service, or other architecture
  • Acts where formally or substantively the same legal entity uses the Service as multiple registered users
  • Impersonation of third parties
  • Use or attempted use of third-party accounts
  • Use of the Service in violation of rules specified by us
  • Acts interfering with normal operation of the Service
  • Providing benefits to anti-social forces, similar organizations, or their members
  • Any other act we deem inappropriate

(Measures for Violation of Terms, etc.)

If we determine that a registered user falls under or is likely to fall under any of the following items, we may, without notice or demand, take measures against such registered user including deletion of all or part of Registered User Information, temporary suspension or restriction of Service use, deletion of account, forced withdrawal, or other measures.

  • If the user violates any provision of these Terms
  • If registration information is found to be false
  • If there is no response for more than 30 days to inquiries or communications requesting answers from us
  • If it is discovered that the user is a minor, adult ward, person under curatorship, or person under assistance without required consent of legal representative/guardian/curator/assistant, or is a person lacking legal capacity
  • If the user is an anti-social force or related party, or engages in financing/assistance that supports maintenance, operation, or management of anti-social forces, or has any interaction/involvement with anti-social forces
  • If necessary for operation or maintenance management of the Service
  • If any grounds listed in Article 4, Paragraph 3 apply
  • If all or part of fees are unpaid by the payment deadline
  • If there is inability/suspension/risk of suspension of payments
  • If a bill or check is dishonored
  • If trading is suspended by a clearing house
  • If there is an application for provisional seizure/provisional disposition/compulsory execution/auction, or delinquency disposition for taxes and public dues
  • If a petition is filed for commencement of bankruptcy, civil rehabilitation, corporate reorganization, or special liquidation
  • If business license revocation, suspension, or other administrative disposition is imposed by a supervisory authority
  • If serious deterioration in financial condition or creditworthiness is recognized
  • Any other reason equivalent or similar to the above

Even after deletion of a registered user's account, we may retain and use Registered User Information within the scope set forth in Article 9, Paragraph 2.

We bear no responsibility for disadvantages or damages incurred by registered users due to measures under Paragraph 1 of this Article.

(Damages)

If we incur damage due to a registered user's violation of these Terms or otherwise arising from use of the Service (including cases where we receive damage claims or other claims from third parties due to such conduct), the registered user shall compensate us for all damages (including fees of attorneys and other professionals, and personnel costs equivalent to responses by us).

Regarding damages suffered by registered users in connection with use of the Service, we are liable only when we acted intentionally or with gross negligence, and only for direct and ordinary damages actually incurred by registered users (excluding damages from special circumstances and lost profits). In such case, the amount of damages is capped at the amount paid by the registered user to us. This provision on claims for damages by registered users applies mutatis mutandis to advisors (including licensed professionals, consultants, and other advisors) engaged by registered users in connection with use of the Service.

(Confidentiality)

Registered users shall treat as confidential information designated by us as confidential in connection with the Service, and shall not disclose or leak such information to third parties without our prior written consent.

If requested by us, registered users shall, in accordance with our instructions, promptly return or dispose of confidential information under the preceding paragraph and all documents/media and copies containing or recording such information.

We shall treat Registered User Information and Submitted Information sent by registered users as confidential and shall not disclose or leak them to third parties without prior written consent.

(Submitted Information)

Registered users shall transmit or upload Submitted Information by methods separately specified by us. If Submitted Information is transmitted or uploaded in an inappropriate manner, the Service may be unavailable.

Copyright in Submitted Information sent by a registered user through the Service remains with that registered user, and we do not acquire copyright therein. We may use Submitted Information without time limitation to the extent necessary for provision, maintenance, and improvement of the Service. However, we do not disclose Submitted Information to third parties without consent of the registered user beyond the scope permitted by personal information protection laws.

Registered users shall not exercise moral rights against us or persons who have succeeded to or been granted rights by us.

Registered users shall back up Submitted Information at their own responsibility, and we have no obligation to back up Submitted Information.

Registered users agree in advance that Submitted Information may be stored by us, a system operating company, or a data center/cloud service contracted by the system operating company.

(Ownership of Kachilu Content)

All intellectual property rights concerning the Service and Kachilu Content (including copyrights, including rights under Articles 27 and 28 of the Copyright Act, patents, utility model rights, trademark rights, design rights, other intellectual property rights including rights to obtain and apply for registration of such rights, and rights concerning ideas and know-how) belong to us or to licensors of us.

We grant registered users permission to use all Kachilu Content provided by us through the Service within the scope of the Service, but do not grant rights beyond those explicitly stated in these Terms.

Trademarks, logos, and service marks (collectively, "Trademarks, etc.") may be displayed in the Service, but we do not transfer such Trademarks, etc. to registered users or third parties, nor permit their use.

(Withdrawal from the Service)

Registered users may withdraw from the Service at any time by deleting their account or by other methods specified by us. A person who was a registered user and has withdrawn can no longer use the Service from the time of withdrawal.

If an account is deleted by mistake or if a registered user loses the right to use the Service for any reason, the former registered user agrees in advance that they may no longer use the account, Submitted Information, or other Registered User Information accumulated in the Service.

At our discretion, we may delete accounts of registered users for whom more than one year has passed since last access, without prior notice.

Even after withdrawal, registered users are not released from any obligations or liabilities already incurred under the Service Use Agreement toward us and third parties (including but not limited to damages). If a withdrawing registered user owes obligations to us, such obligations automatically become due and payable in full at the time of withdrawal without notice or demand.

Handling of Registered User Information after withdrawal shall be governed by Article 9 of these Terms.

(Changes, Suspension, and Termination of the Service)

We may change or add all or part of the content of the Service without prior notice to registered users.

We may, at our discretion, terminate provision of all or part of the Service by giving prior notice to registered users through posting on the service website or by other methods we deem appropriate. However, in emergencies we may provide no notice.

If any of the following events occur, we may temporarily suspend all or part of the Service without prior notice to registered users.

  • Regular or emergency maintenance/repair of communication equipment and related facilities for the Service
  • Excessive access or other unexpected factors causing concentrated system load
  • Malfunction of systems providing the Service
  • Need to secure the safety of registered users
  • Failure of services provided by telecommunications carriers
  • Difficulty in providing the Service due to earthquakes, floods, other natural disasters, fire, power outage, other accidents, war, conflict, disturbance, riot, labor dispute, or other force majeure
  • Operation of the Service becoming impossible or significantly difficult due to laws/regulations or measures based thereon
  • Any other case equivalent to the above where we determine necessary

We bear no responsibility for damages incurred by registered users due to measures taken by us under this Article.

(Disclaimer and Limitation of Liability)

We make no warranties of any kind regarding the Service, Content provided through the Service, or any other information, including suitability for registered users' specific purposes, commercial value, accuracy, usefulness, completeness, legality, compliance with internal rules of organizations applicable to registered users, absence of security defects/errors/bugs/malfunctions, ability of the Service to support all registrations, or non-infringement of third-party rights.

The Service does not create contracts or other documents on behalf of registered users. We bear no responsibility for transactions, communications, disputes, etc. arising between registered users and third parties in relation to the Service or information provided through the Service. Registered users shall process and resolve such matters at their own responsibility.

We do not guarantee that the Service is compatible with all information terminals, and registered users agree in advance that malfunctions may occur in operation of the Service due to OS version upgrades and similar changes on terminals used for the Service. We do not guarantee that such malfunctions will be resolved by program modifications or other actions taken by us.

Registered users agree in advance that use of all or part of the Service may be restricted due to changes in terms of use or operation policies of platforms on which the Service relies.

In addition to the above, if any dispute arises between a registered user and a third party regarding the Service, the registered user shall immediately notify us and resolve it at their own responsibility and expense. We are not involved and bear no responsibility.

(Contact and Notices)

Notices of changes to these Terms and other communications/notices from us to registered users shall be made by posting in appropriate places on the service website, sending email, push notifications, or other methods we deem appropriate.

If we contact or notify a registered user via an email address or other contact information included in Registration Information, such contact/notice is deemed to have reached the registered user.

Inquiries regarding the Service and other communications/notices from registered users to us shall be made by sending through inquiry forms set in appropriate places on the service website or by methods specified by us.

(Prohibition of Assignment of Rights and Obligations)

Without our prior written consent, registered users may not assign, provide as security, or otherwise transfer to third parties all or part of their contractual status under the Service Use Agreement or rights and obligations based on the Service Use Agreement (including comprehensive succession by merger, company split, etc.).

(Treatment in Case of Business Transfer, etc.)

If we transfer the business related to the Service to another company, we may transfer to the transferee, in connection with such transfer, our contractual status, rights and obligations under the Service Use Agreement, and user information and other information. Users are deemed to have agreed in advance to such transfer under this paragraph. "Business transfer" in this paragraph includes comprehensive succession by merger or company split in which we become an extinguished or split company.

(Elimination of Anti-Social Forces)

We and registered users represent and warrant that the following statements are true and that performance will be made as described.

  • Self and own officers/shareholders/business partners, etc. ("Related Parties") are not anti-social forces.
  • Self and Related Parties do not use anti-social forces.
  • Self and Related Parties do not provide funds or other support to anti-social forces, or otherwise cooperate or participate in maintenance/operation of anti-social forces.
  • Self and Related Parties have no relationship with anti-social forces.
  • Self does not use violent acts, fraud, or threatening language against the counterparty directly or through third parties, does not damage the counterparty's honor/credit, and does not interfere with the counterparty's business.

We and registered users shall cooperate with investigations conducted by the counterparty regarding the preceding paragraph.

If either party violates this Article, the other party may immediately terminate the Service Use Agreement without notice or demand.

(Severability)

If any provision of these Terms or any part thereof is held invalid or unenforceable, such determination does not affect other parts, and the remaining parts of these Terms continue to be valid and enforceable. We and registered users shall endeavor to secure effects equivalent to the invalid/unenforceable provision or part in accordance with its intent, and agree to be bound by these Terms as modified accordingly.

Even if any provision of these Terms or part thereof is held invalid or unenforceable in relation to a specific user, validity/enforceability in relation to other users is not affected.

(Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance for all disputes arising out of or in connection with these Terms.
